These Terms of Use ("Terms") govern your access to and use of Gyrence (the "Service"), a web data infrastructure API operated by Crescentic LLC ("Crescentic", "we", "us", or "our"), a Delaware limited liability company. By accessing the Service, creating an account, or using an API key, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Gyrence provides programmatic primitives — Search, Gyre, Fetch, Extract, and Map — that retrieve and structure publicly accessible web content on your behalf. The Service is provided on an evolving basis. Features, endpoints, credit schedules, and rate limits may change with reasonable notice.
2. Accounts and API Keys
Access is provisioned by invitation. You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under them. Notify us promptly at operator@gyrence.com if you suspect any unauthorized use. We may suspend or revoke any key that we reasonably believe has been compromised or misused.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right, including intellectual-property, privacy, publicity, and contract rights;
- Retrieve content from sources whose terms of service or machine-readable directives (such as robots.txt) prohibit automated access, except where doing so is permitted by applicable law;
- Collect personal data, authentication credentials, payment information, or content from gated, paywalled, or authentication-required sources you are not authorized to access;
- Build datasets used to train models or systems whose distribution would infringe third-party rights;
- Generate traffic volume designed to overwhelm, degrade, or disrupt any target site or the Service itself;
- Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service, except to the extent permitted by applicable law;
- Resell, sublicense, or expose the Service as a substitute API without a written commercial agreement with Crescentic.
You are solely responsible for the inputs you submit, the targets you request, and your downstream use of the data returned.
4. Content Ownership
Crescentic does not claim ownership of the third-party content retrieved through the Service. Such content remains the property of its respective owners and is subject to their terms. You represent and warrant that your use of retrieved content complies with all applicable rights and licenses.
5. Credits, Fees, and Billing
Usage of the Service consumes credits according to the schedule published in your workspace. Pricing, included quotas, and overage policies may change. We will provide reasonable notice of material changes to paying customers via email or in-product notification.
6. Confidentiality
Each party agrees to protect the other's non-public information using the same degree of care it uses to protect its own confidential information, and at minimum a reasonable degree of care. Aggregated, anonymized usage data may be used by Crescentic to operate and improve the Service.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED OPERATION. Crescentic does not warrant that any particular URL will be retrievable, that any extraction will be accurate, or that the Service will be free of errors or downtime.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CRESCENTIC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CRESCENTIC FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
9. Indemnification
You agree to defend, indemnify, and hold harmless Crescentic and its officers, members, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual-property or privacy right, in connection with content you retrieve, store, or distribute.
10. Termination
We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or for conduct that we reasonably believe is harmful to other users, third parties, or the Service. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.
